These Terms of Use (the "Terms") constitute a legally binding agreement between you, whether as an individual or on behalf of an entity ("you"), and We-Connect Systems LLC ("We-Connect," "we," "us," or "our"), governing your access to and use of the we-connect.io website and any related mobile or web application (collectively, the "Site").
By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Acceptable Use Policy, each of which is incorporated by reference. If you do not agree to all of these Terms, you are prohibited from using the Site and must discontinue use immediately.
1.Definitions
In these Terms: "Site" means the we-connect.io website and any related mobile or web application; "Services" means the We-Connect subscription platform, applications, and features made available to account holders, governed by the Customer Terms of Service; "Content" means all text, source code, databases, functionality, software, designs, and graphics on the Site; and "Marks" means the trademarks, service marks, and logos displayed on the Site.
2.Relationship to Other Agreements
These Terms govern your general use of the Site. Your use of the Services as a trial or paying customer is governed by the Customer Terms of Service, and the processing of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Agreement.
3.Eligibility
The Site and the Services are intended only for users who are at least 18 years old. Persons under the age of 18 are not permitted to register for or use the Site or the Services. By using the Site, you represent that you are at least 18 years old and that you have the legal capacity to enter into these Terms.
The Site is not intended for distribution or use in any jurisdiction where such use would violate applicable law or subject us to additional registration requirements. If you access the Site from outside an approved jurisdiction, you do so on your own initiative and are responsible for compliance with local law.
4.Accounts and Registration
Certain areas of the Site require you to register for an account. When you register, you agree to provide information that is accurate, current, and complete, and to keep that information up to date at all times. You are solely responsible for maintaining the confidentiality of your account credentials, and you accept responsibility for all activities that occur under your account.
You agree to notify us immediately if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate your account, remove or reclaim any username, and refuse any current or future use of the Site if we determine, in our sole discretion, that you have provided information that is untrue, inaccurate, or incomplete, or that you have otherwise violated these Terms.
5.Modifications to These Terms
We reserve the right to modify these Terms at any time in our sole discretion. We will post any revised Terms and update the "Last Updated" date shown at the top of this page. Changes are effective upon posting. Your continued use of the Site after the effective date constitutes acceptance of the revised Terms.
Material changes to the Customer Terms of Service, which govern the Services, are subject to the separate acceptance procedure set out in that agreement. It is your responsibility to review these Terms periodically so that you are aware of any changes.
6.License to Use the Site
Provided that you are eligible to use the Site, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use. Except as expressly permitted in these Terms, no part of the Site or the Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission. We reserve all rights not expressly granted to you in and to the Site, the Content, and the Marks.
7.Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property. All Content and Marks on the Site are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. The Content and the Marks are provided on the Site "as is" for your information and personal use only.
Rights in the data you upload to the Services, and in output generated through your use of the Services, are addressed in the Customer Terms of Service, Acceptable Use Policy, and AI Terms. Nothing in these Terms transfers ownership of our Content or Marks to you.
8.User Representations
By using the Site, you represent and warrant that: (a) all registration information you submit is truthful, accurate, current, and complete; (b) you will maintain the accuracy of that information; (c) you have the legal capacity to enter into these Terms; (d) you are not under the age of 18; (e) you will not use the Site for any illegal or unauthorized purpose; and (f) your use of the Site will comply with all applicable laws and regulations.
9.Prohibited Activities
You may not access or use the Site for any purpose other than that for which we make it available. As a user of the Site, you agree not to:
- Systematically retrieve data or other content from the Site to create or compile a collection, database, or directory without our written permission.
- Collect usernames or email addresses of users for the purpose of sending unsolicited communications, or create accounts by automated means or under false pretenses.
- Circumvent, disable, or otherwise interfere with security-related features of the Site.
- Trick, defraud, or mislead us or other users, including any attempt to obtain sensitive account information such as passwords.
- Use any automated system, including scripts, robots, spiders, scrapers, or data-extraction tools, to access or interfere with the Site itself. For the avoidance of doubt, this restriction applies to automated activity directed at the Site. It does not restrict your permitted use of the Services for their intended outreach-automation purpose.
- Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to it.
- Attempt to impersonate another user or person, or use the username of another user.
- Upload or transmit any material that contains viruses, trojan horses, or other harmful code.
- Decipher, decompile, disassemble, or reverse engineer any of the software comprising part of the Site.
- Use the Site in any manner inconsistent with any applicable law or regulation.
10.LinkedIn Disclaimer
We-Connect is an independent omnichannel outreach automation platform and is not affiliated with, endorsed by, or certified by LinkedIn. Some automated LinkedIn actions may be restricted by LinkedIn's policies, and these limitations are beyond our control.
You are solely responsible for how you use We-Connect, including any actions taken with your LinkedIn account. We-Connect is not liable for any consequences, including the suspension or banning of a LinkedIn account, resulting from activities performed by you. All LinkedIn trademarks and logos are the property of LinkedIn.
11.Third-Party Websites and Content
The Site may contain links to third-party websites and services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party website or service. You acknowledge and agree that we are not responsible for any damage or loss caused by your use of or reliance on any such content, goods, or services.
12.Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information. By using the Site, you consent to the collection and use of information as described in the Privacy Policy.
13.Disclaimer of Warranty
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Site and your use of it, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We-Connect is not produced, endorsed, or certified by LinkedIn. All LinkedIn logos and trademarks displayed on the Site are the property of LinkedIn.
14.Limitation of Liability
In no event will We-Connect, or its suppliers or licensors, be liable to you or any third party for any special, incidental, indirect, consequential, or punitive damages, including loss of profit, loss of data, or loss of goodwill, arising from or related to your use of the Site. In no event will our aggregate liability to you for any claim arising out of or relating to these Terms exceed the amount of fees paid by you to We-Connect during the twelve (12) month period prior to the event giving rise to the claim. The foregoing limitations apply to the fullest extent permitted by applicable law.
15.Indemnification
You agree to defend, indemnify, and hold harmless We-Connect and its officers, directors, employees, agents, and affiliates from and against any claim, liability, damage, loss, and expense, including reasonable attorneys' fees and costs, arising out of or in any way connected with: (a) your use of the Site; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any right of a third party.
16.Term and Termination
These Terms remain in effect while you use the Site. We may, in our sole discretion and without notice or liability, deny access to and use of the Site to any person for any reason, including for breach of these Terms. You may terminate your use of the Site at any time by discontinuing use and, where applicable, closing your account. Provisions that by their nature should survive termination will survive, including intellectual property provisions, warranty disclaimers, limitations of liability, and indemnification obligations.
17.Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts located in Delaware. Where you are a consumer resident in a jurisdiction whose mandatory consumer-protection or data-protection laws afford you additional rights, nothing in these Terms removes those rights.
18.Miscellaneous
Entire agreement
These Terms, together with any policies posted by us on the Site, constitute the entire agreement between you and us regarding your use of the Site.
Waiver & severability
Our failure to enforce any provision does not operate as a waiver. If any provision is held unenforceable, it is limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full force.
Assignment & force majeure
We may assign our rights and obligations at any time. We are not liable for any delay or failure caused by any event beyond our reasonable control, including acts of God, government restrictions, war, insurrection, pandemic, or failure of telecommunications or hosting services.
